Terms of Use

These Terms of Use set forth the legal contract between each visitor (“User” or “you”) and Up Group Ukraine, LLC (“Uppeople” “we,” or “us”) with respect to access to and use of its internet properties including, without limitation, Uppeople profiles on social media sites and any other digital services or properties operated or used by Uppeople from time to time (collectively referred to as the “Site”).


By using this website, you agree to be bound by the Terms of Use. We may update these Terms from time to time and any modifications will be effective immediately upon posting unless we indicate otherwise. We suggest that you review the Terms of Use periodically for changes. If you do not agree to these Terms of Use, then you are not allowed to use this website and should immediately terminate such usage.

Uppeople requires that all visitors to this Site owned, operated, licensed, and controlled by Uppeople adhere to the following Terms of Use. Uppeolpe may change, suspend or discontinue any aspect of the Site at any time, including the availability of any feature, database or content. Uppeople may also impose limits on certain features and services and/or restrict your access to parts or all of the Site without notice or liability of any kind. 


This Site provides authorized users with access to a collection of resources, including access to certain service deliverables, articles, and insights for establishing the business contact between the Users and counterparties and for general informational purposes.


The Content is to be used solely as a research tool and not as specific guides for action. YOU UNDERSTAND AND AGREE THAT THIS WEBSITE AND THE CONTENT IS PROVIDED “AS-IS” AND YOU ASSUME FULL RISK FOR ANY AND ALL USE OF THIS WEBSITE AND FOR ANALYSIS OF THE CONTENT. You may not use this Site or the content for any illegal purpose or in any manner inconsistent with these Terms of Use. We make every effort to ensure that the content on this Site is accurate and up to date, however accuracy cannot be guaranteed.

You are responsible for obtaining access to the Site and that access may involve third party fees (such as Internet service provider or airtime charges). In addition, you must provide and are responsible for all equipment necessary to access the Site. No installation, implementation, customization, consultation, support or similar services are included within the scope of these Terms of Use.


Apply for a position


The use of our Service of applying for a position (also referred to as “Apply for a position”) allows Specialists to take the appropriate role. Uppeople can post open positions for which counterparties are currently seeking Specialists and Specialists may search through posted open positions on our Site and apply to those positions. 


Use of Apply for a position is subject to all applicable terms and policies, including without limitation the Privacy Policy.


Headhunting 


Using the Headhunting Service (also referred to as "Headhunting"), the  counterparty interested in hiring engages Us to search for Specialists and is subject to a separate bilateral agreement between the counterparty and Us. 


Intellectual property rights


Uppeople owns all rights to the intellectual property and material contained in this Site, and all such rights are reserved. You are granted a limited license only, subject to the restrictions provided in these Terms of Use, for purposes of viewing the material contained on this Site. You must not republish material from this Site (including republication on another website), or reproduce or store material from this Site in any public or private electronic retrieval system; you must not reproduce, duplicate, copy, sell, re-sell, visit, or otherwise exploit our Site or material on our Site for a commercial purpose, without our express written consent. Elements of the Site are protected by trade dress, trade secret and other laws and may not be copied or imitated in whole or in part. While Uppeople maintains copyright protection in all publications it places on the Internet, Uppeople consents to normal downloading, copying and distribution of the information for non-commercial purposes within the user’s organization only. In consideration of this, users agree that copies of the information will retain all copyright and other proprietary notices.


Term and Termination


These Terms of Use will become effective and binding when you use the Site, when you voluntarily provide any information about yourself to us, or when you indicate your agreement by following any instructions we place on the Site (such as buttons labeled “I Agree”). You do not need to inform us if you wish to stop using the Site. We reserve the right to terminate these Terms and your access to the Site at any time without notice. Your rights under these Terms will automatically and immediately terminate if you fail to comply with your promises and obligations stated in these Terms.

You hereby indemnify to the fullest extent Uppeople from and against any and/or all liabilities, costs, demands, causes of action, damages and expenses arising in any way related to your breach of any of the provisions of these Terms of Use.


Limitation of liability 


Uppeople provides links from this Site to websites operated by other entities. It is impossible for Uppeople to monitor the materials and content that you access by clicking on the links provided at our website. You agree that you use these websites, their content and materials at your own risk. Consequently, you should protect yourself against viruses, worms, Trojan horses and any other malicious software that other third-party websites may have.


Links to third-party websites are provided for convenience only and do not imply any approval or endorsement by Uppeople of the linked sites, even if they may contain Uppeople logo, such sites are beyond our control. We make no warranty or representation, we do not accept any responsibility regarding any content or information in websites linked from our Site or any of the products or services described or offered there.

Applicable law and jurisdiction 


These Terms of Use shall be governed by the Law of Ukraine with the exclusive jurisdiction of the courts of Ukraine to resolve any dispute between Uppeople and you arising under or in connection with these Terms of Use
